Terms & Conditions
The following terms and conditions govern all use of the Grobiz App and all content, services, and products available (collectively, the “Service”). The Service is owned and operated by Gruzen Innovations Pvt. Ltd., a limited liability partnership incorporated in Pune, India, under the LLP Act, 2008, having LLPINAAP-5839, and its principal place of business at 135/6, Baner, Pune, 411045, India (hereinafter referred to as “Gruzen Innovations Pvt. Ltd. (Grobiz)”, which expression shall mean and include its heirs, successors, and permitted assigns). Grobiz currently uses third parties to accept payments (hereinafter “Third-Party Payment Processors”). Subscribers will make all payments to Gruzen Innovations Pvt. Ltd. on behalf of Grobiz using these Third-Party Payment Processors. Gruzen Innovations Pvt. Ltd. reserves the right to change the Third-Party Payment Processor or cease using a Third-Party Payment Processor at any time. Despite any similarity in name, there is no affiliation between the Third-Party Payment Processor and Gruzen Innovations Pvt. Ltd., and the Third-Party Payment Processor is not a party to this Agreement. The Service is offered subject to your acceptance without modification of all the terms and conditions contained herein and all other operating rules, policies (including, without limitation, Grobiz’s Privacy Policy), and procedures that may be published from time to time on this mobile application by Gruzen Innovations Pvt. Ltd. on behalf of Grobiz (collectively, “Grobiz”). Please read this Agreement carefully before accessing or using the Service. If you do not agree to all the terms and conditions of this agreement, you must not access or use any of our services. If these terms and conditions are considered an offer by Grobiz, acceptance is expressly limited to these terms. The Service is available only to individuals at least 16 years old.
Your Grobiz Account
Grobiz App Builder is a platform that connects sellers with their buyers. The seller needs to create an app from the Grobiz App Builder for any eCommerce business. Sellers can add products from their Admin panel provided in the Order history of the Grobiz App Builder. Grobiz App Builder is just a platform to connect buyers and sellers. We do not sell or endorse any kind of eCommerce products nor do we promote any vendors on this platform. It’s a platform where vendors connect with their sellers easily and sell products. If you create a mobile application using our Service, you are responsible for maintaining the security of your account and are fully responsible for all activities that occur under the account and any other actions taken in connection. You must not describe or assign keywords to your created mobile application in a misleading or unlawful manner, including in a manner intended to trade on the name or reputation of others. Gruzen Innovations Pvt. Ltd. on behalf of Grobiz may change or remove any description or keyword that it considers inappropriate or unlawful or likely to cause Grobiz’s liability. You must immediately notify Grobiz of any unauthorized uses of your mobile application, your account, or any other breaches of security. Gruzen Innovations Pvt. Ltd. on behalf of Grobiz will not be liable for any acts or omissions by you, including any damages incurred as a result of such acts or omissions. If the app created by you is found to be used for inappropriate, unlawful, or illegal purposes and is not in accordance with the laws of the respective country, Grobiz will terminate its service, and the account will be blocked permanently. No refunds will be made under such circumstances.
Responsibility of Contributors
The downloading, copying, and use of the Content will not infringe the proprietary rights, including
but
not limited to copyright, patent, trademark, or trade secret rights of any third party.
If your employer has rights to intellectual property you create, you have either (1) received
permission
from your employer to post or make available the Content, including but not limited to any software,
or
(2) secured from your employer a waiver as to all rights in or to the Content.
You have fully complied with any third-party licenses relating to the Content and have done all
things
necessary to successfully pass through to end users any required terms.
The Content does not contain or install any viruses, worms, malware, Trojan horses, or other harmful
or
destructive content.
The Content is not spam, is not machine- or randomly-generated, and does not contain unethical or
unwanted commercial content designed to drive traffic to third-party sites or boost the search
engine
rankings of third-party sites, or to further unlawful acts (such as phishing) or mislead recipients
as
to the source of the material (such as spoofing).
The Content is not pornographic, libelous, or defamatory, does not contain threats or incite
violence
towards individuals or entities, and does not violate the privacy or publicity rights of any third
party.
Your mobile application is not advertised via unwanted electronic messages such as spam links on
newsgroups, email lists, blogs, and websites, and similar unsolicited promotional methods.
Your mobile application is not named in a manner that misleads your readers into thinking that you
are
another person or company.
In the case of Content that includes computer code, you have accurately categorized and/or described
the
type, nature, uses, and effects of the materials, whether requested to do so or otherwise.
Termination
Grobiz may terminate your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate this Agreement or your grobiz.app account (if you have one), you may simply discontinue using the Service. Grobiz can terminate the Service immediately as part of a general shutdown of our service. All provisions of this Agreement which by their nature shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. If you have purchased only one category, you are only allowed to add items or products to that specific category. For example, if you have purchased a clothing manufacturer application, you are only allowed to sell products related to clothing. If a person is found using multiple categories that do not pertain to that category, then their application will be banned, and no refunds will be made. For example, if you have purchased the category clothing manufacturer and you added grocery products to be sold through the purchased application, then Grobiz holds the right to ban the application, and no refunds will be made.
Chargebacks
If we receive a chargeback or payment dispute (i.e., Razor Pay Dispute) or any other third-party payment gateway or from a credit card company or bank, your service and/or project will be suspended without notice. A $120 chargeback fee (issued to recover fees passed on to us by the credit company), plus any outstanding balances accrued as a result of the chargeback(s), must be paid in full before service is restored, files delivered, or any further work is done. Instead of issuing a chargeback, please contact us to address any billing issues. Requesting a chargeback or opening a Razor Pay dispute or any other third-party payment gateway for a valid charge from us is fraud and is never an appropriate or legal means of obtaining a refund.
Jurisdiction and Payment Terms
Each party consents to the exclusive jurisdiction of designated courts. Non-payment will accelerate the minimum value of this agreement, making it payable in full as liquidated damages, reflecting Grobiz's probable loss from non-payment. The Client agrees to cover all costs, including attorney fees, incurred in collecting or enforcing any obligations under this agreement, regardless of whether a lawsuit is initiated.
Data Processing Addendum (DPA)
This DPA is part of the Master Subscription Agreement between Grobiz and the Customer concerning online services (the "Agreement"). It outlines the agreement regarding the processing of Personal Data. By entering into the Agreement, the Customer also agrees to this DPA on behalf of its Affiliates where necessary under applicable Data Protection Laws. Definitions Affiliate: Any entity controlling, controlled by, or under common control with another entity. Controller: Entity determining the purposes and means of Processing Personal Data. Customer Data: Defined as "Customer Data" or "Your Data" in the Agreement. Data Subject: Individual to whom Personal Data relates. Personal Data: Information related to identifiable natural or legal persons, which is Customer Data. Processing: Any operation performed on Personal Data, such as collection, storage, or disclosure. Processor: Entity processing Personal Data on behalf of the Controller. Processing of Personal Data Customer’s Responsibilities: The Customer must comply with Data Protection Laws while processing Personal Data, maintaining responsibility for its accuracy and legality. Grobiz’s Responsibilities: Grobiz will treat Personal Data as Confidential Information and will only process it per the Customer’s instructions. Rights of Data Subjects Data Subject Requests: Grobiz will notify the Customer of any requests received from Data Subjects and assist the Customer in fulfilling its obligations under Data Protection Laws. Data Subject Access Request (DSAR) For DSARs, customers can contact support@grobiz.app. Grobiz will provide a report to the data subject within one month of the request, detailing processed personal data, its purposes, and any automated decision-making involved.
